Terms of Service

This agreement is between Wavedigits, Inc. and the customer using ReplyTime. It governs use of the Service, and using ReplyTime means accepting it.
01Definitions
Terms used throughout the agreement.
"Service" means the ReplyTime application and API. "Customer" means the organization that has created a ReplyTime account. "Event" means an inbound or outbound webhook sent to the API. "API key" means the tenant-scoped credential used to authenticate requests. "Client" means an end customer of the Customer whose conversations are tracked through the Service.
02The account
Who may sign up and what they are responsible for.
You must be able to form a binding contract to create an account, and the information you provide must be accurate. Each organization should maintain one ReplyTime account.You are responsible for keeping your API keys and team member access credentials secure, and for all activity that occurs under your account.
03Trial and subscription
How the 14-day trial and the paid plan work.
New accounts receive a 14-day free trial. A payment card is required to start a trial, but you will not be charged if you cancel before the trial ends.After the trial, the Service is billed monthly in advance at the price shown on our pricing page at the time of signup, plus applicable taxes, until cancelled.
04Payment and refunds
Billing mechanics.
Payments are processed by Stripe. If a payment fails, we will retry it and may suspend access to the Service until payment succeeds.Cancelling during the trial is free of charge. Once a paid period has started, fees already paid are non-refundable for the remainder of that period, except where required by law.
05Cancellation and termination
How either side ends the agreement.
You may cancel at any time from your account settings; cancellation takes effect at the end of your current billing period, and you keep access until then.We may suspend or terminate your account for breach of these Terms, non-payment, or unlawful use, with notice where practicable.
06Acceptable use
What the service may not be used for.
You may not use the Service unlawfully, attempt to reverse-engineer it, resell it without our written consent, or circumvent its rate limits or security controls.You may not send us data you do not have the right to process, including your clients' data, without a lawful basis for doing so.
07Customer data and third-party tools
Ownership, and the role of Zapier, Make, n8n and similar tools.
You retain ownership of the data you send us; we process it solely to provide the Service.ReplyTime connects to your existing automation tools (for example Zapier, Make, or n8n) through webhooks you configure. We are not responsible for the availability, accuracy, or behavior of those third-party platforms.See our Privacy Policy and, where applicable, our Data Processing Agreement for how we handle data on your behalf.
08Service availability
What is promised about uptime.
We aim for high availability but do not guarantee uninterrupted access, and may perform planned maintenance with reasonable notice where practicable.ReplyTime measures and reports on response times between the events you send us; it does not guarantee delivery of messages on the underlying communication channels.
09Intellectual property
What belongs to whom.
ReplyTime retains all rights, title, and interest in the Service, including its software, branding, and documentation. You receive a limited, non-exclusive, non-transferable right to use the Service during your subscription.If you send us feedback or suggestions, you grant us the right to use them without restriction or compensation.
10Warranties and disclaimers
The limits of what is warranted.
The Service is provided "as is" and "as available." To the maximum extent permitted by law, we disclaim all implied warranties, including merchantability, fitness for a particular purpose, and non-infringement.
11Limitation of liability
The liability cap.
To the maximum extent permitted by law, ReplyTime's total liability arising out of or relating to these Terms or the Service is limited to the fees you paid in the 12 months preceding the claim.Neither party is liable for indirect, incidental, special, or consequential damages, except where such exclusion is not permitted by law.
12Indemnity
Who covers third-party claims.
You agree to indemnify and hold ReplyTime harmless from claims arising from your unlawful use of the Service or data you had no right to send us. ReplyTime will defend you against claims that the Service, as provided, infringes a third party's intellectual property rights.
13Changes to the service and these terms
How updates happen.
We may modify or discontinue features of the Service, and may update these Terms from time to time. We will give at least 14 days' notice of material changes; continued use after that date means you accept them.
14Governing law and disputes
Jurisdiction and process.
These Terms are governed by the laws of the State of Delaware, USA, without regard to its conflict-of-law principles. Any dispute will be brought exclusively in the state or federal courts located in Delaware, and both parties consent to that jurisdiction.
15Miscellaneous
Standard closing clauses.
These Terms are the entire agreement between you and ReplyTime regarding the Service. If any provision is found unenforceable, the rest remains in effect. You may not assign these Terms without our consent. Our failure to enforce a provision is not a waiver. Neither party is liable for delays caused by events outside its reasonable control.
